1. Introduction

Welcome to HebaAI ("we," "our," or "us"). These Terms and Conditions govern your use of our software-as-a-service platform, including our website, AI receptionist, patient booking systems, and related services (collectively, the "Service").

By accessing or using the Service, you ("Client," "you") agree to be bound by these Terms. Please note that the platform is currently in a testing phase.

2. Provision of Service

HebaAI provides a digital clinic automation platform. While we strive for high availability, as the platform is in its testing period, we do not guarantee uninterrupted or error-free operation. We reserve the right to modify, suspend, or discontinue any part of the Service with or without notice.

3. Payments and Non-Refund Policy

Access to our Service requires payment of a one-time setup fee and a recurring monthly subscription fee, as detailed in your selected pricing plan.

All payments made for setup fees and monthly subscription fees are strictly non-refundable. By purchasing our services, you acknowledge and agree to this non-refund policy.

4. User Obligations and Acceptable Use

You agree to use the Service only for lawful purposes. You are solely responsible for all activities that occur under your account. You agree not to use the Service in any way that violates our Acceptable Use Policy (AUP), including sending unsolicited communications or misrepresenting medical information.

5. Data Privacy and Medical Information

HebaAI acts as a data processor on your behalf. You remain the data controller regarding all patient information submitted to or processed by the Service. You are solely responsible for ensuring you have the necessary consents from your patients to process their data in accordance with the Data Protection Act, 2011 of Trinidad and Tobago. Our obligations regarding data processing are further detailed in our Data Processing Agreement (DPA) and Privacy Policy.

6. Intellectual Property

HebaAI retains all rights, title, and interest in and to the Service, including all software, designs, algorithms, and associated intellectual property. You retain all rights to your clinic's data and patient information.

7. Limitation of Liability

To the maximum extent permitted by the laws of Trinidad and Tobago, in no event shall HebaAI be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; or (iii) unauthorized access, use, or alteration of your transmissions or content.

8. Disclaimer of Medical Liability

HebaAI provides software tools and AI automation. We do not provide medical advice, diagnosis, or treatment. You are solely responsible for the medical care of your patients and the accuracy of the medical information communicated through our platform.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of Trinidad and Tobago, including but not limited to the Electronic Transactions Act, 2011, without regard to its conflict of law provisions.

10. Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will provide notice of significant changes. Your continued use of the Service following any changes constitutes acceptance of those changes.
